Exelon Formally Files For FERC Approval To Acquire EDF Stake In Co-owned Nuclear Plants

On June 5, Exelon Generation Company, LLC ('Exelon Generation' or 'Purchaser') on behalf of itself and its affiliates, Calvert Cliffs Nuclear Power Plant, LLC ('Calvert Cliffs'), Nine Mile Point Nuclear Station, LLC ('Nine Mile Point'), and R.E. Ginna Nuclear Power Plant, LLC ('Ginna') (Calvert Cliffs, Nine Mile Point, and Ginna, together, the 'Nuclear Project Companies') (the Nuclear Project Companies and Exelon Generation, together, the 'Applicants'), respectfully requested FERC authorization for a transaction in which Exelon Generation will acquire EDF Inc.’s 49.99 percent ownership interest in Constellation Energy Nuclear Group, LLC ('CENG'), which is the upstream owner of Calvert Cliffs, the owner of an approximately 1,708 megawatt ('MW') nuclear power facility located in Calvert County, Maryland ('Calvert Cliffs Facility'), Nine Mile Point, the partial owner of an approximately 1,913 MW nuclear power facility located in Oswego County, New York (the 'Nine Mile Point Facility'), and Ginna, the owner of an approximately 581 MW nuclear power facility located in Wayne County, New York (the 'Ginna Facility') from EDF Inc. (the 'Transaction').
Exelon Generation currently holds a 50.01 percent ownership interest in CENG and thus, following the Transaction, will own directly or indirectly 100 percent of CENG.
